This Agreement outlines the terms and conditions
Scope of Agreement
- The Affiliate agrees to promote and market products and services offered by P’s Pro Max Affiliate Program by Master P.
Commissions
- For each qualified sale resulting from the Affiliate’s marketing efforts, the Company agrees to pay the Affiliate a commission of 20% of the net sale amount (excluding taxes, shipping, and returns)
- The Affiliate shall be responsible for any taxes, shipping or fees associated with commission earned, in accordance with applicable laws.
Promotion and Marketing
- The Affiliate shall promote P’s Pro Max Products with authorized marketing materials provided through digital files provided by the Company. Unauthorized use of materials is strictly prohibited.
- The Affiliate shall ensure that all marketing activities are ethical, legal, and in compliance with relevant laws and regulations.
- The Company reserves the right to review and approve all marketing materials used by the Affiliate before dissemination.
- Lead Collection and Marketing
- P’s Pro Max Affiliate Program may collect and market to leads generated through the Affiliate’s marketing efforts. Leads may include potential customers and clients interested in the Company’s products and services.
Tracking and Reporting
- The Company shall provide the Affiliate with a unique tracking code or link for proper identification of sales generated through the Affiliate’s efforts.
- The Company shall provide the Affiliate with access to a dashboard or reporting system that allows the Affiliate to track sales, commission, and related statistics.
Payment
- Commissions shall be paid on a monthly basis, within 10 days after the end of the respective period.
- The Company shall provide payment to the Affiliate through Melio; easy bill paying services as specified by the Affiliate in the application.
Termination
- Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
- Upon termination, all commissions shall be paid for qualified sales generated prior to the termination date.
Confidentiality
- Both parties agree to maintain the confidentiality for any proprietary information, including but not limited to customer lists, pricing, and marketing strategies.
Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of California.
Entire Agreement
- This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations.Revocation of Affiliate Status
The affiliate application and status in the program may be suspended or terminated for any of the following reasons, which are both legal and reasonable:
Breach of Terms and Conditions: If an affiliate violates any of the terms and conditions outlined in the affiliate agreement, their status may be suspended or terminated. This includes engaging in fraudulent activities, misrepresenting the products or services, or engaging in unethical marketing practices.
Non-Compliance with Regulatory Requirements: If an affiliate fails to comply with relevant laws and regulations governing affiliate marketing, such as disclosing affiliate relationships or adhering to advertising standards, their status may be suspended or terminated.
Inactive Performance: If an affiliate fails to generate a minimum level of sales or referrals within a specified period, their status may be suspended or terminated due to lack of performance.
Misuse of Intellectual Property: Unauthorized use of copyrighted materials, trademarks, or branding associated with the program without proper permission can result in suspension or termination.
Payment Irregularities: Failure to provide accurate payment information, engaging in payment fraud, or misrepresenting sales and commissions can lead to suspension or termination.
Ethical Violations: Any conduct that is considered unethical, such as engaging in deceptive marketing practices, spamming, or engaging in harassment, may result in suspension or termination.
Dispute Resolution: In case of disputes between the affiliate and the program, if a resolution cannot be reached through negotiation or mediation, it may lead to suspension or termination of the affiliate's status.
Change in Business Strategy: The program reserves the right to make changes to its affiliate program, and if these changes are not acceptable to an affiliate, they may choose to have their status terminated.
It is important for affiliates to familiarize themselves with the terms and conditions of the affiliate program to ensure compliance and maintain a successful and mutually beneficial partnership.
